Independent Contractor Agreement

1Independent Contractor Relationship

Contractor is an independent contractor, not an employee, agent, or partner of Profullstack, Inc.

Contractor is responsible for all taxes, insurance, and business expenses.

2Services

Contractor agrees to provide software development, technical consulting, or related services as requested by the Company.

3Compensation

• Compensation is agreed in USD terms
• Contractor must submit invoices denominated in USD
• Company may pay compensation using cryptocurrency as a payment method

4Crypto Payments

If paid in cryptocurrency:

• Payment is valued at USD fair market value at time of transfer
• Contractor bears all volatility risk after receipt
• Contractor provides a valid wallet address

Crypto is used solely as a payment rail.

5Taxes

Contractor is solely responsible for all taxes related to compensation.

Non-US contractors must provide a completed W-8BEN or W-8BEN-E.

6Confidentiality

Contractor agrees to keep Company confidential information confidential.

7Intellectual Property

All work product created by Contractor in connection with services is a work made for hire.

To the extent not considered a work made for hire, Contractor assigns all rights to Profullstack, Inc.

8Compliance

Contractor represents that they are not located in a sanctioned country and are not a sanctioned person.

9Termination

Either party may terminate this Agreement at any time.

Contractor will be paid for approved services performed prior to termination.

10Limitation of Liability

Company's liability is limited to compensation paid to Contractor in the prior 30 days.

11Governing Law

This Agreement is governed by the laws of the State of California, USA.

12Acceptance

Contractor accepts this Agreement by performing services for Profullstack, Inc.
