Client Services Agreement

1Services

Profullstack, Inc. provides software development, technical consulting, and related services ("Services") on a weekly or monthly standard-rate basis.

Services are provided on a professional services basis and are not staffing, payroll, or employment services.

2Engagement Model

Client acknowledges that:

• Fees are charged at a fixed weekly or monthly rate
• Rates cover availability, expertise, and ongoing work
• No minimum hours, output, or deliverables are guaranteed unless agreed in writing

3Fees & Payment

• Fees are denominated and payable in USD
• Invoices are billed in advance of each billing period
• Fees are non-refundable once a billing period begins

All payments are treated as Company revenue and are not held for third-party distribution.

4Use of Subcontractors

Profullstack, Inc. may use subcontractors or vendors, including overseas talent, to perform Services.

Client has no contractual relationship with any subcontractor.

5No Payroll or Payout Services

Profullstack, Inc. does not provide payroll, staffing, remittance, or payout services.

Any compensation paid to subcontractors is handled internally by Profullstack, Inc.

6Cryptocurrency Disclosure

Client acknowledges that Profullstack, Inc. may compensate its subcontractors using cryptocurrency as a payment method.

Client funds are not transmitted, exchanged, or converted on Client's behalf.

7Intellectual Property

Unless otherwise agreed in writing:

• Client receives a license to use work produced during the engagement
• Profullstack, Inc. retains ownership of underlying tools, frameworks, and know-how

8Confidentiality

Each party agrees to keep the other party's confidential information confidential.

9Term & Termination

This Agreement continues on a rolling weekly or monthly basis.

Either party may terminate prior to the next billing period.

10Limitation of Liability

To the maximum extent permitted by law, Company's liability is limited to fees paid by Client in the most recent billing period.

11Governing Law

This Agreement is governed by the laws of the State of California, USA.

12Acceptance

Client accepts this Agreement by engaging Profullstack, Inc. or paying an invoice.
